Item 7.01 - Regulation FD Disclosure.

 

September 2026 Distribution

 

On September 28, 2026, the Board of Trustees of New Mountain Private Credit Fund (the “Company”) declared a regular distribution in the amount of $0.19 per common share of beneficial interest (the “Shares”), payable to shareholders of record as of the open of business on September 30, 2026 to be paid on or about October 30, 2026.

 

This distribution will be paid in cash or reinvested in Shares for shareholders participating in the Company’s distribution reinvestment plan.

 

Item 8.01 - Other Events.

 

Net Asset Value

 

The net asset value (“NAV”) per Share as of August 31, 2026, as determined in accordance with the Company’s valuation policy, is $22.84.

 

As of August 31, 2026, the Company’s aggregate NAV was approximately $949.4 million, the fair value of its investment portfolio was approximately $1,881.1 million, and it had approximately $938.6 million of debt outstanding (at principal). The average debt-to-equity leverage ratio during August 2026 was approximately 0.97 times. As of August 31, 2026, the Company had approximately $1,510.0 million in committed debt capacity, with 100% in floating rate leverage, of which 77% was secured and 23% was unsecured, based on drawn amounts1.

 

1 Certain Notes are classified for the purposes of this filing as floating rate as a result of the Company entering into interest rate swaps to effectively swap fixed notes payments for floating rate payments.

 

Status of Offering

 

The Company is currently offering Shares on a monthly basis as part of its continuous private offering of Shares (the “Private Offering”). During the month of September, the Company did not issue any Shares in the Private Offering (excluding Shares issued through the Company’s distribution reinvestment plan). The Company intends to continue selling Shares in the Private Offering on a monthly basis.
